These Subscription Terms and Conditions (“Terms”) govern access to and use of ReadA3 subscription services, including Digital Only subscriptions and Digital + Mail Copy subscriptions.
ReadA3 is operated by MerriTime Mobile Limited, trading as “ReadA3”, with business registration number 69834145 and correspondence address at 4/F , KOHO, Kwung Tong (“ReadA3”, “we”, “us” or “our”).

By starting a free trial, purchasing a subscription, clicking a button indicating acceptance of these Terms, or continuing a paid subscription, you agree to these Terms.
Important Subscription Information
Please read this section before subscribing.
ReadA3 offers a 14-day free trial for eligible subscriptions.
Unless you cancel before the free trial ends, your subscription will automatically convert to the paid subscription plan selected at checkout.
When the trial converts to a paid subscription, you will be charged:
the subscription price displayed at checkout + a 5% payment processing fee.
The same charging arrangement will apply to subsequent subscription renewals unless otherwise stated at checkout.
You may cancel during the free trial to prevent the first subscription charge.
After becoming a paid subscriber, you may cancel at any time to prevent the next renewal charge. Cancellation does not normally generate a refund for a subscription period that has already started, except where required under these Terms or applicable law.
The exact subscription price, billing period, trial benefits, publication frequency and, where applicable, mailing arrangements will be shown before you confirm your subscription.
1. Definitions
For these Terms:
“Account” means the ReadA3 account or subscription record associated with a subscriber.
“Child Profile” means information supplied to ReadA3 for the purpose of adapting reading material, which may include a child’s school year, approximate age, interests, language preferences and reading confidence.
“Content” means any material supplied through ReadA3, including articles, stories, news summaries, illustrations, images, graphics, comics, exercises, games, vocabulary materials, layouts, PDFs and printed publications.
“Digital Content” means Content supplied electronically, including web content, downloadable files and PDFs.
“Digital + Mail Copy” means a subscription that includes Digital Content together with printed publications sent to the mailing address registered with the subscription.
“Digital Only” means a subscription that provides Digital Content without printed copies by mail.
“Subscriber”, “you” or “your” means the adult who starts the trial, purchases or manages the subscription.
“Subscription Period” means the billing period shown at checkout, such as monthly, multi-week, quarterly or another period expressly stated before purchase.
2. Who May Subscribe
ReadA3 is designed primarily for children’s reading, but subscriptions must be purchased and managed by an adult aged 18 or above who is legally capable of entering into a contract.
Where a subscriber provides information about a child, the subscriber confirms that they are the child’s parent, guardian or another person authorized to provide that information.
Children should not independently provide payment information or enter into a paid subscription with ReadA3.
The subscriber is responsible for supervising the child’s use of ReadA3.
3. ReadA3 Subscription Services
ReadA3 provides interest-led and personalized educational reading materials.
A subscription may contain materials such as:
news and current-affairs content; short stories; factual articles; science, history and cultural material; vocabulary support; bilingual Chinese-English content; comics and illustrations; games and activities; discussion questions; and other reading materials.
The exact materials included may vary according to the subscription plan and the child’s profile.
ReadA3 currently offers two principal subscription categories.
3.1 Digital Only
Digital Only subscribers receive the digital materials included in the selected plan.
These may include online reading materials, downloadable publications and PDF files.
3.2 Digital + Mail Copy
Digital + Mail Copy subscribers receive the applicable Digital Content together with printed copies mailed to the registered delivery address according to the publication and delivery schedule shown for that plan.
4. Personalized Reading
ReadA3 may adapt Content using information contained in a Child Profile.
Personalization may consider factors including:
the child’s interests; school year; reading confidence; preferred subjects; preferred or stronger language; areas in which additional language support may be useful; and preferred reading presentation.
Personalization is intended to make reading more relevant and easier to approach.
Personalization does not constitute a formal assessment of literacy ability, learning difficulties, educational needs or academic performance.
ReadA3 does not guarantee that personalized Content will perfectly match every child’s interests or ability on every occasion.
5. 14-Day Free Trial
Eligible subscribers may receive a 14-day free trial.
The trial begins on the date stated when the subscriber activates it.
The checkout page will clearly state:
- the subscription plan selected;
- the length of the free trial;
- the price payable after the free trial;
- the applicable Subscription Period;
- the 5% payment processing fee;
- whether the subscription renews automatically; and
- how to cancel.
No subscription fee is charged during the free-trial period.
If a payment method is required to start the trial, the subscriber authorizes ReadA3 and its payment processor to retain the payment authorization for the purpose of charging the subscription if the trial converts to a paid subscription.
ReadA3 may use a temporary payment authorization or verification transaction where required by the payment provider. Such an authorization is not itself a subscription charge.
6. What Is Included During the Free Trial
The Content and services included in the 14-day trial will be stated at the time the trial is activated.
For Digital + Mail Copy subscriptions, the checkout page will state whether physical mailed copies are included during the free-trial period or begin after the first successful subscription payment.
No undisclosed postage, subscription or other mandatory fee will be charged during the trial.
7. Conversion from Free Trial to Paid Subscription
Unless you cancel before the end of the 14-day trial, your trial will automatically convert into the paid subscription selected when you registered.
Your registered payment method will then be charged:
the subscription fee displayed when you subscribed, plus the applicable 5% payment processing fee.
ReadA3 will provide a reminder before the trial ends containing, at minimum:
the trial expiry date; the amount that will be charged; the billing frequency; and instructions for cancelling.
The reminder will be sent to the email address or other contact channel registered with the subscription.
You are responsible for keeping your contact details current.
Failure to open or read a reminder that ReadA3 has properly sent does not itself extend the trial period.
8. Subscription Prices
Subscription prices will be displayed before the subscriber confirms a purchase.
Unless expressly stated otherwise, prices are denominated in Hong Kong dollars (HKD).
Prices may differ between subscription types, promotional offers or Subscription Periods.
The price applicable to your subscription is the price disclosed when you subscribe, subject to any subsequent price change made in accordance with Section 24.
9. 5% Payment Processing Fee
A 5% payment processing fee applies to each successful paid subscription transaction unless the checkout page expressly states that the fee has already been included in the displayed price.
The 5% fee will be disclosed before the subscriber confirms the transaction.
For example:
Subscription charge: HK$100
Payment processing fee: HK$5
Total charged: HK$105
The fee applies to the actual paid subscription transaction and is not charged merely for accessing a genuinely free trial unless a separate charge is clearly disclosed.
Where ReadA3 refunds a payment because of an incorrect charge attributable to ReadA3 or because ReadA3 materially failed to provide the purchased service, the corresponding processing fee associated with the refunded amount will also be refunded.
For a discretionary refund granted for reasons unrelated to an error by ReadA3, any processing fee already incurred may be treated separately where permitted by law and clearly communicated to the subscriber.
10. Payment Authorization
By subscribing, you authorize ReadA3 and its authorized payment service provider to charge the payment method associated with your Account for:
subscription fees; the disclosed 5% payment processing fee; and any other amount specifically authorized and disclosed to you before payment.
ReadA3 will not intentionally add undisclosed mandatory charges to a subscription.
Payment card processing may be performed by third-party payment providers. ReadA3 may therefore not receive or retain complete payment-card information.
11. Automatic Renewal
Unless expressly described as a fixed-term, non-renewing subscription, paid ReadA3 subscriptions automatically renew at the end of each Subscription Period.
The renewal price and billing frequency will be disclosed when you subscribe.
You authorize the applicable subscription and payment-processing charges to be collected automatically at each renewal until the subscription is cancelled.
ReadA3 will not automatically change a subscriber from one materially different subscription commitment to another without appropriate disclosure.
12. Cancelling During the Free Trial
You may cancel the subscription at any time before the 14-day trial ends.
If cancellation is completed before the trial expires:
no first subscription fee will be charged; and the subscription will not automatically convert into a paid subscription.
Cancellation must be made through the cancellation mechanism provided by ReadA3 or by contacting ReadA3 through an accepted support channel.
Simply ceasing to use ReadA3, closing a browser, deleting a downloaded file, discarding a printed publication or ignoring communications does not constitute cancellation.
13. Cancelling a Paid Subscription
A paid subscriber may cancel the subscription at any time to prevent future renewals.
Unless ReadA3 expressly states otherwise, cancellation takes effect at the end of the Subscription Period already paid for.
The subscriber may normally continue accessing the applicable subscription benefits until that period expires.
No cancellation penalty will be imposed merely for stopping future renewal.
14. Refund Policy
Cancellation of a paid subscription does not normally entitle the subscriber to a full or partial refund for a Subscription Period that has already begun.
However, ReadA3 will consider an appropriate refund, replacement, credit or other remedy where:
ReadA3 has charged the subscriber incorrectly; a duplicate payment has occurred; a material part of the purchased service has not been provided; ReadA3 cannot reasonably provide a material part of the subscription for an extended period; or a refund or other remedy is required by applicable law.
Nothing in these Terms limits any legal right or remedy that cannot lawfully be excluded or restricted.
ReadA3 will not rely on the refund provisions to avoid responsibility for an incorrect charge or material failure to provide the purchased service.
15. Digital Content Delivery
Digital Content may be provided through:
the ReadA3 website; personalized web pages; email; downloadable files; PDF files; or another delivery method described in the applicable subscription.
Subscribers are responsible for maintaining a reasonably compatible device, internet connection and software necessary to access Digital Content.
Temporary internet, browser or device problems affecting the subscriber’s own equipment do not constitute a failure by ReadA3 to supply the subscription.
16. Digital + Mail Copy Delivery
Subscribers to a Digital + Mail Copy plan must provide a complete and accurate mailing address.
The subscriber is responsible for checking delivery information and notifying ReadA3 promptly of any changes.
Address changes received after an issue has already been prepared for mailing may apply only to subsequent issues.
Delivery dates are estimates unless ReadA3 expressly guarantees a particular date.
ReadA3 is not responsible for unavoidable delays caused by postal operators, severe weather, transportation disruption, government action or other circumstances outside ReadA3’s reasonable control.
17. Missing or Damaged Mail Copies
If a mailed copy does not arrive within a reasonable period or arrives materially damaged, the subscriber should contact ReadA3 as soon as reasonably possible.
ReadA3 may investigate the delivery and, depending on the circumstances, provide:
a replacement printed copy; a replacement digital edition; an account credit; a refund relating to the affected item where appropriate; or another reasonable remedy.
ReadA3 may require confirmation of the delivery address or reasonable evidence of material damage before issuing a replacement.
18. AI-Generated and AI-Assisted Content
Artificial intelligence forms part of ReadA3’s content-production process.
ReadA3 may use AI systems and other digital technologies to create, adapt, assist with or process:
text; headlines; stories; news summaries; educational explanations; vocabulary; questions and exercises; illustrations; images; visual concepts; layouts; and other Content.
Accordingly, some Content may be wholly or partly AI-generated or AI-assisted.
ReadA3 may combine AI-generated material with editorial direction, human review, public information, licensed material and other sources.
19. Review and Accuracy of AI-Generated Content
ReadA3 takes reasonable steps to review and prepare Content before publication.
However, AI systems are probabilistic technologies and may occasionally produce:
factual errors; outdated information; inappropriate wording; unintended visual details; similarities to existing material; or other unexpected output.
ReadA3 therefore does not warrant that every item of AI-generated or AI-assisted Content will be completely error-free.
Subscribers are encouraged to contact ReadA3 if they identify a material factual, visual or content issue.
ReadA3 may correct, replace or withdraw affected Content where appropriate.
20. Copyright and Intellectual Property Disputes Involving ReadA3 Content
Because ReadA3 uses both AI-generated text and AI-generated images, questions or claims concerning copyright, intellectual property or similarity to third-party works may occasionally arise.
Where a copyright, intellectual-property or similar claim relates to Content originally supplied by ReadA3, ReadA3 will be responsible for handling the claim or dispute.
This means ReadA3 will take primary responsibility for receiving, investigating and responding to the claim relating to the ReadA3-supplied Content.
ReadA3 may, depending on the circumstances:
investigate the allegation; review the affected Content and relevant source information; communicate with the claimant or rights holder; seek professional or legal advice; suspend access to the Content; remove the disputed Content; modify or regenerate the Content; replace affected text or images; withdraw an affected edition; issue corrected material; or take other reasonable action to resolve the matter.
The fact that ReadA3 handles a complaint does not constitute an admission that infringement has occurred.
21. Subscriber Cooperation in an Intellectual Property Claim
If a subscriber receives a copyright or intellectual-property complaint relating solely to Content supplied by ReadA3 and used by that subscriber in accordance with these Terms, the subscriber should promptly:
notify ReadA3; provide a copy of the communication or claim; avoid making admissions concerning ReadA3’s liability; and reasonably cooperate with ReadA3’s investigation.
ReadA3 may request that the subscriber temporarily stop using the disputed Content while the issue is investigated.
22. Limits of ReadA3’s Responsibility for Intellectual Property Claims
ReadA3’s responsibility for handling disputes concerning Content it supplied does not extend to a claim caused by a subscriber’s unauthorized conduct.
In particular, ReadA3 is not responsible for a dispute arising because a subscriber:
resold the Content; commercially distributed the Content; uploaded it to a public repository; incorporated it into another commercial product; materially altered it and distributed the altered version; removed relevant attribution or rights information; used it for advertising or promotion; sublicensed it; or otherwise used it outside the personal-use licence granted by these Terms.
Where a subscriber has acted outside the permitted personal use, responsibility for that unauthorized use remains with the subscriber.
23. Intellectual Property Rights
ReadA3 Content may contain material created by ReadA3, AI-generated or AI-assisted material, material used under licence, and material in which rights are held by third parties.
To the extent intellectual-property rights subsist and are owned or controlled by ReadA3, those rights are reserved by ReadA3.
Rights in third-party material remain with the respective rights holders.
Nothing in a ReadA3 subscription transfers ownership of intellectual property to the subscriber.
Because the legal treatment of AI-generated material may evolve, ReadA3 does not represent that every individual AI-generated element necessarily attracts copyright protection in every jurisdiction.
However, irrespective of whether copyright subsists in an individual element, the subscriber’s contractual right to access and use ReadA3 Content remains subject to the personal-use restrictions in these Terms.
24. Personal Use Only
A ReadA3 subscription is provided strictly for personal and household educational use.
The subscriber receives a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the applicable Content for the subscriber and the child or children covered by that subscription.
Subscribers may:
read the Content; download permitted Digital Content; retain permitted downloads for personal reference; print Digital Content for the subscribed child’s personal use; annotate, circle, colour or write on personal printed copies; and discuss the Content within the subscribing household.
No commercial licence is granted.
25. No Resale, Redistribution or Commercial Transactions
Unless ReadA3 gives express prior written permission, subscribers must not sell, resell, redistribute, sublicense, transfer or commercially exploit ReadA3 Content.
In particular, subscribers must not:
- sell or resell a ReadA3 publication, PDF or other Content;
- sell access to a ReadA3 account or personalized publication;
- distribute digital copies to other families or individuals;
- photocopy or reproduce publications for distribution outside the subscribing household;
- upload Content to public websites, cloud-sharing folders, file-sharing networks or public repositories;
- use Content as part of a paid tutoring service;
- distribute Content to a class, school, learning centre or organization under a personal subscription;
- incorporate Content into a commercial course, educational package or training product;
- sell or license ReadA3 illustrations, images, text or layouts;
- use ReadA3 Content in advertisements, paid publications or commercial merchandise;
- charge another person for access to ReadA3 Content;
- use the Content as the subject of any commercial transaction;
- systematically scrape or extract ReadA3 Content to create another database or publication;
- use substantial ReadA3 Content to train, fine-tune or populate another commercial AI system, dataset or content service; or
- remove or obscure ReadA3 branding or rights information for the purpose of redistribution or commercial exploitation.
These restrictions apply whether the redistribution or commercial activity is conducted for money, other consideration or another commercial benefit.
A personal subscription does not constitute a school, classroom, library, tutoring-centre or institutional licence.
26. Unauthorized Use
ReadA3 may investigate suspected unauthorized resale, redistribution or commercial exploitation.
Where ReadA3 reasonably determines that a subscriber has materially violated the personal-use restrictions, ReadA3 may:
request that the prohibited activity stop; disable access to affected Content; suspend the Account; terminate the subscription; and take reasonable steps to protect ReadA3’s rights.
Where appropriate, ReadA3 may also pursue remedies available under applicable law.
Any action taken under this section will be proportionate to the nature and seriousness of the breach.
27. Subscriber-Provided Material
Where ReadA3 permits a subscriber to submit text, images, topics, prompts or other material for personalization, the subscriber should only submit material that they are entitled to provide.
The subscriber retains any rights they already hold in their own material.
The subscriber grants ReadA3 a limited right to process such material solely as reasonably necessary to operate, personalize and provide the ReadA3 service and to maintain the service securely.
A subscriber must not knowingly instruct ReadA3 to reproduce infringing, unlawful or otherwise prohibited material.
28. Educational Purpose
ReadA3 is designed to support curiosity, voluntary reading and repeatable reading habits.
ReadA3 does not replace:
school instruction; professional teaching; tutoring; phonics instruction; specialist literacy support; psychological assessment; medical advice; or professional assessment of learning difficulties.
ReadA3 does not guarantee any particular examination result, school performance, reading level or rate of academic improvement.
29. News and Current-Affairs Content
Some ReadA3 publications may discuss news, science, public affairs or other information that changes over time.
ReadA3 takes reasonable steps to prepare such Content accurately based on information available at the time of publication.
Information may subsequently change, be corrected or become outdated.
ReadA3 may update digital versions where appropriate but is not required to recall every printed copy merely because later information changes.
30. Child Profiles and Personal Data
ReadA3 may collect personal data reasonably necessary to provide and personalize the service.
This may include information relating to the subscriber and limited information relating to a child.
Information supplied for personalization should be adequate and relevant to the reading service.
The subscriber confirms that they are authorized to provide information concerning the relevant child.
ReadA3 will handle personal data in accordance with its Privacy Policy, Personal Information Collection Statement and applicable Hong Kong personal-data requirements.
Where personal information is collected online, the relevant privacy notice should be read together with these Terms.
Hong Kong’s Privacy Commissioner states that data collection should be related to the data user’s functions, adequate but not excessive, and that data subjects should be informed about the purpose of collection and relevant classes of transferees.
31. Service Availability
ReadA3 aims to provide Content according to the schedule applicable to each subscription.
ReadA3 may occasionally perform maintenance, correct technical issues, update infrastructure or temporarily suspend part of the service where reasonably necessary.
ReadA3 will take reasonable steps to minimize material disruption.
Where a significant interruption within ReadA3’s reasonable control prevents delivery of a material part of the paid subscription, ReadA3 may provide an extension, replacement, credit, refund or other reasonable remedy.
32. Changes to Subscription Services
ReadA3 may improve or modify its publication formats, personalization methods, layouts, technologies and features.
ReadA3 will not use this right to materially reduce an existing subscriber’s paid subscription without appropriate notice.
If ReadA3 proposes a material change that significantly disadvantages an existing subscriber, ReadA3 will provide reasonable advance notice and allow the subscriber to cancel before the affected renewal.
33. Price Changes
ReadA3 may change subscription prices from time to time.
A new price will not be retroactively applied to a Subscription Period that has already been paid for.
For an automatically renewing subscription, ReadA3 will provide reasonable advance notice of a material price increase before charging the new price.
If you do not accept the new price, you may cancel before the renewal to which that price applies.
34. Suspension and Termination by ReadA3
ReadA3 may suspend or terminate an Account where reasonably necessary because of:
fraudulent payment activity; repeated payment failure; material breach of these Terms; unauthorized redistribution or commercial exploitation; abuse of ReadA3 systems; unlawful activity; or conduct creating a material security or legal risk.
Where reasonably practicable, ReadA3 will provide notice and an opportunity to remedy the issue before termination unless immediate action is reasonably required.
Termination does not affect rights or obligations that arose before termination.
35. Responsibility and Liability
ReadA3 will exercise reasonable care in providing the subscription service.
Nothing in these Terms excludes or restricts liability where doing so would be unlawful.
Nothing in these Terms affects statutory rights or remedies that a consumer cannot lawfully waive.
To the extent permitted by law, ReadA3 is not responsible for indirect loss that was not reasonably foreseeable when the subscription was entered into.
Any limitation or exclusion in these Terms is intended to apply only to the extent that it is lawful, fair and reasonable in the circumstances.
Hong Kong consumer-contract guidance cautions that exemption clauses may be subject to statutory controls and that overly broad standard terms may be unenforceable.
36. Events Outside Reasonable Control
ReadA3 is not responsible for delay or failure caused by circumstances outside its reasonable control, including:
major postal disruption; natural disaster; severe weather; widespread internet or hosting failure; industrial action; epidemic or public-health restrictions; war or civil disturbance; government action; failure of essential third-party infrastructure; or other comparable events.
ReadA3 will take reasonable steps to minimize the effect of such events and resume affected services when reasonably possible.
37. Changes to These Terms
ReadA3 may amend these Terms where reasonably necessary to reflect:
changes to the subscription service; new products or features; changes in technology; changes to payment arrangements; changes in law or regulation; or reasonable changes to business operations.
Material changes affecting an existing paid subscriber will be communicated with reasonable advance notice.
Where a change materially disadvantages an existing subscriber, the subscriber may cancel the affected subscription before the change takes effect.
38. Electronic Communications
You agree that ReadA3 may provide subscription-related notices electronically, including by email, website notice, account notification or another communication method you have selected.
Electronic communications may include:
trial reminders; payment receipts; renewal reminders; delivery notices; cancellation confirmations; service notices; changes in price; and changes to these Terms.
You are responsible for maintaining accurate contact information.
Electronic contracting and electronic records are generally recognized under Hong Kong’s Electronic Transactions Ordinance.
39. Assignment
The subscriber may not transfer or assign a personal ReadA3 subscription to another person for resale or commercial purposes without ReadA3’s written consent.
ReadA3 may transfer its rights and obligations to a successor or affiliated entity as part of a genuine restructuring, sale or transfer of the ReadA3 business, provided that doing so does not materially reduce the subscriber’s contractual rights.
40. No Waiver
If ReadA3 does not immediately enforce a provision of these Terms, this does not mean that ReadA3 has waived that provision or the right to enforce it later.
41. Severability
If a court or competent authority determines that any provision of these Terms is invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it enforceable where legally possible.
The remaining provisions will continue in effect.
42. Entire Agreement
These Terms, together with:
the subscription details shown at checkout; the applicable Privacy Policy; the applicable Personal Information Collection Statement; and any expressly incorporated subscription-specific terms,
constitute the agreement governing the ReadA3 subscription.
Where a subscription-specific checkout term conflicts with these general Terms regarding the price, billing period, trial benefits or publication quantity of the particular plan purchased, the clearly disclosed subscription-specific term will apply to that matter.
43. Governing Law
These Terms and the ReadA3 subscription relationship are governed by the laws of the Hong Kong Special Administrative Region.
44. Jurisdiction and Disputes
If a concern arises, subscribers are encouraged to contact ReadA3 first so that the matter can be investigated and, where appropriate, resolved.
Subject to any mandatory consumer rights that may apply, disputes arising from or relating to these Terms or a ReadA3 subscription will be subject to the jurisdiction of the courts of the Hong Kong Special Administrative Region.
Nothing in this section prevents either party from using another dispute-resolution process where both parties agree to do so.
45. Language
ReadA3 may provide these Terms in English and Traditional Chinese.
Translations are intended to make the Terms easier for subscribers to understand.
Delete or modify the sentence above if you intend the Traditional Chinese version to be authoritative instead.
